This area was established in order to provide efficient and comprehensive assistance that satisfies the needs of any company. For this our team has the requisite experience in the structuring of investment vehicles where implementing the same involves the incorporation, transformation merger, acquisition, restructuring and winding-up of companies, both owned by local and foreign investors.
We provide assistance in the creation of incorporated, unincorporated, and contractual investment vehicles, whether local or foreign, and in the projection and carrying out of local and cross-border business transactions and operations. Likewise, we provide guidance in the negotiations, making and carrying out of contracts that are entered into in order to further and pursue the business opportunities that our clients create and find, in efficient fashion and within the limits set by the laws.
In all this process the Area carries out, among others, these activities:
- Incorporation, transformation, merger, spin-off and acquisition of commercial companies.
- Consulting in amending corporate by-laws as required to better reflect the business reality of our clients.
- Preparation of minutes and records of corporate organs meetings.
- Incorporation of offshore companies and registration of branch offices of foreign companies.
- Preparation of marketing and sales contracts (sales and supply agreements, etc.), business collaboration agreements (so-called temporary unions and other joint ventures, undisclosed partnership arrangements, etc.), corporate collaboration agreements (technology transfer and licensing agreements), service agreements, etc.
